Please read these Terms and Conditions ("Terms," "Terms of Service") carefully before using the www.caviarcentre.com website (the "Service") operated by Caviar Centre Inc. ("us," "we," or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, customers, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

General Conditions

a. We reserve the right to refuse service to anyone for any reason at any time.

b. You understand that your content, not including credit card information, may be transferred unencrypted and involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

c. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission from us.

d. The headings used in these Terms are included for convenience only and will not limit or otherwise affect these Terms.

Accuracy, Completeness, and Timeliness of Information

a. We are not responsible if information made available on this site is not accurate, complete, or current. Material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions without consulting primary, more accurate, complete, or timely sources of information.

b. Any reliance on material on this site is at your own risk.

c. This site may contain certain historical information. Historical information is not current and is provided for reference only.

d. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information unless required by law.

Products or Services

a. Certain products or services may be available exclusively online through the website. Products or services may have limited quantities and are subject to return, refund, or exchange only in accordance with our Return & Refund Policy.

b. We have made every reasonable effort to display as accurately as possible the colours, appearance, and images of our products. We cannot guarantee that the display of any colour or image on your device will be completely accurate.

c. We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis.

d. We reserve the right to limit the quantities of any products or services that we offer.

e. Product descriptions, pricing, availability, and other information are subject to change at any time without notice at our discretion.

f. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

g. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet every expectation, or that all errors in the Service will be corrected.

h. Perishable Goods: Due to the perishable nature of caviar and other gourmet food products, sales of perishable goods are generally final once shipped, except in cases of verified damage, spoilage, defect, or other circumstances covered by our Return & Refund Policy. For food safety and quality-control reasons, we cannot accept returns of opened, partially consumed, or improperly stored perishable products.

Pricing and Payment

a. Prices for our products are subject to change without notice.

b. We reserve the right at any time to modify or discontinue the Service, or any part of it, without notice.

c. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

d. Unless otherwise indicated at checkout, prices and payments are in Canadian Dollars (CAD).

e. We accept the payment methods displayed on our website and at checkout, which may include Visa, Mastercard, American Express, Shopify Payments, and other approved payment methods.

f. Transactions are processed securely through third-party payment providers. We do not directly store your full payment card details on our servers.

Order Acceptance and Cancellation

a. We reserve the right to refuse any order placed with us.

b. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order.

c. These restrictions may include orders placed by or under the same customer account, payment method, billing address, or shipping address.

d. If we change or cancel an order, we may attempt to notify you using the email address, telephone number, billing information, or other contact information provided when the order was placed.

e. We reserve the right to limit or prohibit orders that, in our judgment, appear to be placed by unauthorized dealers, resellers, distributors, or other parties purchasing for unauthorized resale.

Shipping and Delivery

a. Shipping costs, available delivery methods, and estimated delivery times are displayed during checkout where applicable and may vary based on destination, order contents, weather, courier availability, and other factors.

b. Orders containing caviar and other temperature-sensitive products are packed using insulated, temperature-protective packaging designed to maintain appropriate chilled conditions during the expected delivery period.

c. Orders shipped outside the Greater Toronto Area are normally dispatched Monday through Thursday using express courier service. Most destinations are reached the next business day, although some destinations may require up to two business days.

d. We do not normally dispatch perishable shipments outside the Greater Toronto Area on Fridays because carriers generally do not deliver these shipments over the weekend.

e. Customers requiring an order for a weekend should place and confirm the order no later than Thursday at 3:00 p.m. Orders confirmed after this cutoff will normally be shipped the following Monday.

f. Eligible same-day delivery within the Greater Toronto Area may be available for orders placed by 10:00 a.m. Same-day delivery should be requested in the order notes at checkout or by contacting us promptly after the order is placed.

g. If you require delivery on or near a specific date, please include the requested delivery date in your order notes or contact us promptly after placing your order. We will make reasonable efforts to schedule shipment appropriately based on destination and courier service.

h. Shipping and delivery times are estimates and are not guaranteed unless expressly confirmed by us in writing.

i. We are not responsible for delays caused by circumstances beyond our reasonable control, including severe weather, transportation disruptions, courier delays, remote-area service limitations, labour disruptions, or unforeseen logistical events.

j. You are responsible for providing a complete and accurate shipping address, including apartment, unit, buzzer, telephone number, and other relevant delivery information where applicable.

k. Additional costs, missed deliveries, delays, or product deterioration caused by incorrect or incomplete address information provided by the customer may be the customer's responsibility.

l. Delivery When the Recipient Is Unavailable: Because caviar and other perishable foods should not remain unnecessarily at a courier depot, shipments may be left at the delivery address if the recipient is unavailable.

m. The recipient is responsible for retrieving the package promptly after confirmed delivery and refrigerating perishable products immediately. Caviar Centre is not responsible for deterioration caused by a package remaining unattended or exposed to warm conditions for an extended period after confirmed delivery.

n. Where free shipping is offered based on a minimum order value, the qualifying order value is calculated after discounts and promotional reductions have been applied. The applicable threshold displayed at checkout will govern the order.

Returns, Refunds, and Exchanges

a. Our Return & Refund Policy is incorporated into these Terms by reference. Please review our Return & Refund Policy for detailed information regarding returns, refunds, claims, damaged products, and other applicable procedures.

b. Due to the perishable nature of caviar and other gourmet food products, returns or exchanges are generally not permitted unless the product is damaged, defective, or spoiled upon arrival or otherwise qualifies under our Return & Refund Policy.

c. Claims involving damaged, defective, or spoiled perishable products must generally be reported within 24 hours of receipt and should include the order number, a description of the issue, and photographic evidence where reasonably requested.

d. Products must be stored and handled according to the storage instructions provided by Caviar Centre. Claims resulting from improper handling, delayed refrigeration, or improper storage after delivery may not qualify for a refund or replacement.

User Comments, Feedback, and Other Submissions

a. If, at our request, you send specific submissions, or without a request from us you send creative ideas, suggestions, proposals, plans, comments, or other materials by email, postal mail, online submission, or otherwise (collectively, "comments"), you agree that we may, at any time and without restriction, edit, copy, publish, distribute, translate, and otherwise use such comments in any medium.

b. We are under no obligation to maintain comments in confidence, pay compensation for comments, or respond to comments.

c. We may, but have no obligation to, monitor, edit, or remove content that we determine in our discretion to be unlawful, offensive, threatening, defamatory, obscene, objectionable, or in violation of any party's intellectual-property rights or these Terms.

d. You agree that your comments will not violate any right of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary rights.

e. You further agree that your comments will not contain unlawful, abusive, defamatory, obscene, or malicious material, or any computer virus or malware that could affect the operation of the Service or any related website.

f. You may not use a false email address, impersonate another person, or otherwise mislead us or third parties regarding the origin of any comments.

g. You are solely responsible for the comments you make and their accuracy. We assume no responsibility and accept no liability for comments posted by you or any third party.

Your submission of personal information through the store is governed by our Privacy Policy. Please review our Privacy Policy for information regarding how we collect, use, disclose, and protect personal information.

Errors, Inaccuracies, and Omissions

a. Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, availability, or other matters.

b. We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice, including after an order has been submitted.

c. We undertake no obligation to update, amend, or clarify information in the Service or on any related website, including pricing information, except as required by law.

d. No specified update or refresh date applied to the Service should be taken to indicate that all information in the Service has been modified or updated.

Prohibited Uses

In addition to other prohibitions set forth in these Terms, you are prohibited from using the site or its content:

a. for any unlawful purpose;

b. to solicit others to perform or participate in unlawful acts;

c. to violate any international, federal, provincial, municipal, or other applicable law, regulation, rule, or ordinance;

d. to infringe upon or violate our intellectual-property rights or the intellectual-property rights of others;

e. to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or unlawfully discriminate against any person;

f. to submit false or misleading information;

g. to upload or transmit viruses, malicious code, or other material that could affect the functionality or operation of the Service, related websites, other websites, or the Internet;

h. to collect or track the personal information of others unlawfully;

i. to spam, phish, pharm, pretext, spider, crawl, scrape, or otherwise misuse the Service;

j. for any obscene or unlawful purpose; or

k. to interfere with or circumvent security features of the Service or any related website.

We reserve the right to terminate your use of the Service for violating any prohibited use.

Disclaimer of Warranties; Limitation of Liability

a. We do not guarantee, represent, or warrant that your use of the Service will be uninterrupted, timely, secure, or error-free.

b. We do not warrant that results obtained from use of the Service will always be accurate or reliable.

c. You agree that from time to time we may remove the Service for indefinite periods or cancel the Service at any time without notice.

d. You expressly agree that your use of, or inability to use, the Service is at your sole risk.

e. The Service and all products and services delivered to you through the Service are, except as expressly stated by us or required by applicable law, provided "as is" and "as available" without representation, warranties, or conditions of any kind, either express or implied.

To the maximum extent permitted by applicable law, Caviar Centre Inc., its directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, and licensors shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including lost profits, lost revenue, lost savings, loss of data, or replacement costs, arising from your use of the Service or any product procured through the Service.

g. Where applicable law does not permit the exclusion or limitation of certain liabilities, our liability shall be limited to the maximum extent permitted by law.

Nothing in these Terms is intended to exclude or limit any consumer rights or remedies that cannot lawfully be excluded or limited under applicable Canadian or provincial law.

Indemnification

You agree, to the extent permitted by applicable law, to indemnify, defend, and hold harmless Caviar Centre Inc. and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand, including reasonable legal fees, arising from your breach of these Terms or the documents incorporated by reference, or from your violation of any applicable law or the rights of a third party.

Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nevertheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms.

Such determination shall not affect the validity and enforceability of the remaining provisions.

Termination

a. The obligations and liabilities of the parties incurred prior to termination shall survive termination for all purposes where appropriate.

b. These Terms remain effective unless and until terminated by either you or us.

c. You may terminate these Terms at any time by notifying us that you no longer wish to use the Services or by ceasing to use our site.

d. If, in our judgment, you fail or we reasonably suspect that you have failed to comply with any term or provision of these Terms, we may terminate this agreement without notice and may deny you access to the Services, subject to applicable law.

Entire Agreement

a. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

b. These Terms and any policies or operating rules posted by us on this site or in respect of the Service constitute the entire agreement and understanding between you and us regarding your use of the Service and supersede prior or contemporaneous agreements, communications, and proposals relating to the Service.

c. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party solely because that party prepared the Terms.

Governing Law

These Terms and any separate agreements whereby we provide Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
